Acceptance
These User Terms of Service and Subscription Agreement (the "Agreement") govern access to https://elibrimarkets.com, related web applications, accounts, Telegram integrations, and other digital services branded ELIBRI or Elibri Markets (the "Platform") provided by ELIBRI LTD., a company incorporated in Saint Lucia under registration number 2026-00305 with its registered address at c/o ADCO Incorporated, #10 Manoel Street, Castries, Saint Lucia ("ELIBRI", "Company", "we", "us").
By creating an account, accepting these terms, subscribing, purchasing access to a Bot, or using the Platform, you confirm that you have read, understood, and agree to this Agreement. If you act for an organisation, you confirm that you have authority to bind it.

Definitions
- "AI Bot" or "Bot" means a software agent, interface, model, instructions, data, and integrations that generate responses, analytics, alerts, or other outputs.
- "Author" or "Developer" means an independent person who created or supplied a Bot. An Author is not an employee, agent, or representative of ELIBRI.
- "Input" means a prompt, file, message, setting, public blockchain address, or other data submitted by a user.
- "Output" means text, a calculation, signal, rating, scenario, alert, or other material generated by the Platform or a Bot.
- "Paid Feature" means a subscription, one-time access, additional limit, or other function whose price and period are shown before payment.
- "Third-Party Provider" means a provider of AI models, market data, hosting, communications, analytics, or payments, including applicable OpenAI, DeepSeek, and UniPayment services.

Age and territories
The Platform is available only to persons aged 18 or older who have full legal capacity under applicable law.
Access is allowed only where ELIBRI, the relevant function, the applicable Third-Party Provider, and the selected payment method are permitted. Availability may differ by Bot and may change because of law, sanctions, export controls, provider rules, payment-network rules, or ELIBRI risk decisions.
You must accurately state your residence and location. You must not use a VPN, proxy, false address, third-party payment method, or other means to bypass territorial, sanctions, provider, or payment restrictions.

Account
Some functions require an account. You must provide accurate, current information, keep login details confidential, and promptly report suspected compromise.
- An account may be used only by its owner unless a corporate plan states otherwise.
- You are responsible for account activity until ELIBRI receives proper notice of unauthorised access.
- ELIBRI may request proof of age, identity, country, authority, payment information, or tax information where required by law, a provider, or fraud controls.
- You must not transfer, sell, rent, share, or mass-create accounts or use another person's identity.

Bots and Authors
The Platform may host Bots created by ELIBRI and independent Authors. ELIBRI provides technical access, collects payment as the digital-service provider, moderates listings, and may calculate Author remuneration.
No contract, agency, fiduciary duty, advisory relationship, or other professional relationship arises between a user and an Author. An Author may not bind ELIBRI, promise returns, give guarantees, or make statements for ELIBRI.
A Bot listing may describe the Bot, sources, limitations, price, Author, and statistics. The listing forms part of the specific access terms, but this Agreement prevails if they conflict.
ELIBRI may add, change, restrict, replace, or remove any Bot, model, data source, or function. ELIBRI may act without prior notice for security, legal, provider, or policy reasons. Section 10 applies if a materially paid function becomes unavailable.

AI Outputs
Outputs are generated by probabilistic automated systems. They may be incomplete, inaccurate, outdated, biased, inconsistent, non-unique, or fabricated. The same Input may produce different Outputs, and different users may receive similar Outputs.
- You must independently verify material facts, prices, calculations, sources, dates, and suitability of any Output.
- Do not use an Output as the sole basis for a decision that could cause financial, legal, medical, professional, or other material harm.
- ELIBRI does not guarantee uninterrupted data, absence of delay, complete market coverage, translation accuracy, statistical accuracy, or future signal performance.
- Past results, simulations, and backtests do not guarantee future performance. Methodology, samples, and market conditions may change.

Financial markets, CFDs, and cryptoassets
Platform content, including buy/sell labels, market bias, price levels, SL/TP, risk/reward, position sizing, watchlists, wallet ratings, copy-strategy content, sentiment, forecasts, and Telegram alerts, is general analytical, research, or educational material only. It is not a personalised investment recommendation, offer, invitation, transaction instruction, portfolio management, licensed investment research, or guarantee.
- ELIBRI does not assess whether an instrument or strategy is suitable or appropriate for you.
- The Platform does not request or accept seed phrases, private keys, transaction-signing rights, or brokerage API keys with trading or withdrawal authority.
- Buttons such as Open Token, Apply Risk, Copy, or Follow Wallet open information or monitoring settings and do not execute a transaction for you.
- Copy Strategy means receiving general Author publications or alerts, not automated trade copying or asset management.
- Public blockchain addresses and wallet statistics do not establish ownership, lawful activity, future profitability, or absence of manipulation.
Before any transaction, obtain independent advice from a properly licensed professional in your jurisdiction and use a properly regulated trading venue or intermediary.

Prices and payments
Access may be free or paid. A Bot price may be set by ELIBRI or its Author within Platform rules. The checkout page shows the price, currency, applicable taxes, billing period, limits, and renewal terms before payment.
Payment is processed by the applicable UniPayment group company or another independent provider identified at checkout. The provider applies its own terms, may conduct KYC/AML checks, and may restrict methods, countries, currencies, or transactions. ELIBRI does not store complete card numbers, CVV codes, seed phrases, or private keys.
- You authorise ELIBRI and the payment provider to charge the displayed amount and applicable taxes.
- A bank, network, conversion, or blockchain fee may be charged separately by the relevant provider.
- A price change applies to a future period. ELIBRI will give at least 14 days' notice of a material increase unless mandatory law requires more.
- If payment fails, access may be restricted and the charge may be retried within a reasonable period after notice.

Renewal and cancellation
If checkout states that a subscription renews automatically, it renews for the same period at the then-current price until cancelled.
You may cancel through your account or by contacting support. Cancellation stops future charges and normally takes effect at the end of the paid period. Access continues until then unless law, security, or provider rules require otherwise.
Deleting an account may not cancel an active payment-provider subscription. Cancel the subscription before deletion or send ELIBRI an unambiguous cancellation request.

Refunds
Because digital access begins immediately after payment, completed payments and unused time are generally non-refundable, except where mandatory law requires a refund, a charge was erroneous or unauthorised, or a paid function was materially unavailable for a prolonged period due to ELIBRI.
A refund request must include the account and payment identifiers, date, and reason. ELIBRI may request evidence and refer the request to the payment provider. Approved refunds are made to the original method or a permitted equivalent and remain subject to provider processing time.
Mandatory consumer rights remain unaffected. Where a statutory withdrawal period applies, you may use it. If the law permits digital supply to begin during that period, you request immediate supply and acknowledge the permitted consequences.

Acceptable use
You must comply with law, third-party rights, this Agreement, Bot rules, and applicable Third-Party Provider policies. You must not:
- commit fraud, manipulate markets, wash trade, spoof, pump and dump, spread false rumours, trade on inside information, or help evade sanctions, KYC/AML, or tax duties;
- use the Platform for automated trade execution, management of another person's funds, acceptance of deposits, or exchange, transfer, or custody of virtual assets for another person;
- present an Output as guaranteed, human-verified, licensed advice, or an official communication of an issuer, exchange, regulator, or ELIBRI;
- upload malware, obtain unauthorised access, bypass controls, overload systems, reverse engineer beyond rights that cannot be excluded, extract models, or scrape at scale;
- infringe confidentiality, intellectual property, data-source terms, or privacy rights, or submit defamatory, threatening, discriminatory, exploitative, illegal, or harmful content; or
- upload data without the necessary rights, notices, and consents, including another person's personal, commercial, brokerage, or restricted market data.

Platform intellectual property
ELIBRI and its licensors own the Platform, software, interface, design, database structure, trade marks, documentation, system instructions, scoring models, aggregated analytics, and other materials, excluding user and Author content.
Subject to this Agreement, ELIBRI grants you a limited, revocable, non-exclusive, non-transferable right to use the Platform in an available territory for personal or internal business purposes. Resale, sublicensing, service-bureau access, database extraction, and use to train a competing model require written permission.

Inputs and Outputs
You retain your rights in Inputs and confirm that you have all rights, permissions, notices, and lawful bases needed to provide them to ELIBRI, the Author, and Third-Party Providers for the selected function.
You grant ELIBRI a worldwide, non-exclusive, royalty-free licence for the processing period to host, reproduce, transform, transmit, and otherwise use Inputs to provide, protect, moderate, and improve the Platform, comply with law, and prevent abuse. Training ELIBRI models with Inputs requires separate notice and any consent or lawful basis required by law.
As between you and ELIBRI, and to the extent permitted by law and the relevant AI-provider terms, ELIBRI assigns to you any rights it may have in your Output. This does not transfer rights in the Platform, Bot, Author materials, third-party data, trade marks, or other users' Outputs, and does not guarantee that an Output is protectable or unique.

Third-party AI and data providers
A Bot may send Inputs and technical data to Third-Party Providers, including OpenAI, DeepSeek, and providers identified in the interface or Privacy Policy. ELIBRI does not fully control their models, availability, rules, retention, or quality.
Do not submit secrets, private keys, payment credentials, sensitive personal data, or information whose disclosure would cause unacceptable harm unless the interface expressly supports that information and states the safeguards.
Market, news, social, and blockchain data may be delayed and licence-restricted. The Platform is not an official price source and must not be used for execution, margin calculation, clearing, accounting, or regulatory reporting.

Moderation and complaints
ELIBRI may use automated and manual review of Bots, Inputs, Outputs, public profiles, and messages where necessary for security, policy enforcement, complaint handling, or law. Review is not prior approval of every item.
Report unlawful, unsafe, or rights-infringing content to partners@elibrimarkets.com. Intellectual-property complaints are handled under the Intellectual Property Complaints and Takedown Policy.

Suspension and termination
You may stop using the Platform and close your account after meeting outstanding obligations and cancelling active subscriptions.
ELIBRI may restrict a function, Bot, payment, or account for breach, risk of harm, fraud, chargeback, legal or provider requirements, unavailable territory, security risk, or investigation. Where reasonable and lawful, ELIBRI will state the reason and available review process.
Access ends on termination. Payment, ownership, liability, dispute, and other provisions intended to survive remain effective. Data is deleted or retained under the Privacy Policy and mandatory law.

Disclaimers
The Platform is provided "as is" and "as available". To the maximum extent permitted by law, ELIBRI excludes implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted service, error-free operation, completeness, and accuracy.
Nothing excludes a mandatory warranty or right that cannot lawfully be excluded. Any legally required remedy, including repair, repeat performance, price reduction, or compensation, remains available to the extent required by law.

Limitation of liability
To the maximum extent permitted by law, ELIBRI, its directors, personnel, contractors, Authors, and providers are not liable for indirect, incidental, special, punitive, or consequential loss, lost profit, lost transaction, data, business opportunity, reputation, or asset value arising from use of or inability to use the Platform or an Output.
ELIBRI's total liability for all Platform-related claims is limited to the greater of: (a) the amount you paid ELIBRI for the relevant function during the 12 months before the event; or (b) USD 100. This limit does not apply to ELIBRI fraud or wilful misconduct, death or personal injury caused by negligence, a non-excludable duty, or any liability that mandatory law does not permit ELIBRI to limit.
You are responsible for trading and investment decisions, risk settings, legal compliance, data verification, and selection of a regulated intermediary.

Changes
ELIBRI may amend this Agreement for product, legal, provider, or risk reasons. The current version will state its effective date. ELIBRI will give reasonable advance notice of a material change affecting an active paid subscription. If you disagree, cancel and stop using the Platform before the change takes effect.
A change requiring separate consent under mandatory law does not take effect without that consent.

Governing law and disputes
This Agreement is governed by Saint Lucia law, excluding conflict-of-laws rules. Before filing a claim, a party must give written notice and allow 30 calendar days for good-faith resolution.
Unresolved disputes are subject to the competent courts of Saint Lucia. A consumer retains any non-waivable right to bring proceedings in the consumer's home jurisdiction or rely on mandatory consumer protection.
If a provision is invalid, the remaining provisions continue and the invalid provision applies to the maximum lawful extent. Failure to enforce a right is not a waiver.
